MyOpenGuild Bulk Upload Policy for Client and Vendor Data

This Bulk Upload Policy governs the import of Client and Vendor data into MyOpenGuild.com  (“MyOpenGuild,” “we,” “our,” or “us”). By uploading data, you (“User,” “you”) agree to  comply with the terms set forth below in addition to MyOpenGuild’s Terms of Service and  Privacy Policy. 

1. Permitted Contact Data 

1.1 Users may upload Contact Data in bulk only for legitimate business networking and  relationship purposes as intended by the Platform. 

1.2 Permissible Contact Data is limited to the following fields: 

• Full Name 

• Legal Business Name 

• Email address 

• Street Address 

• City 

• State 

• Zip Code 

• Telephone Number 

1.3 Users may not upload any other personal data, including but not limited to  government ID numbers, Social Security numbers, passwords, health data, or other  sensitive identifiers. Data related to minors under 18 is strictly prohibited. 

2. User Representations and Warranties 

By uploading Contact Data in bulk, User represents and warrants that: 

2.1 User has obtained all necessary consents and lawful authority to upload, process, and share  the Contact Data. 

2.2 The Contact Data was not purchased, rented, appended, provided by a third party, scraped, or  acquired in violation of applicable laws, including GDPR, CAN-SPAM, CCPA, or similar laws. 2.3 User has a prior relationship with all contacts included in the upload, and those contacts  reasonably expect to hear from the User’s organization. 

2.4 User has communicated with each contact at least once in the past 12 months. 2.5 Uploading and use of the Contact Data through the Platform will not violate the rights of any  individual or third party.

3. Prohibited Uses 

3.1 Contact Data uploaded to the Platform may not be used for: 

• Unsolicited commercial emails or spam; 

• Sale, transfer, or disclosure to unauthorized third parties; 

• Any unlawful marketing or outreach activity. 

• Upload or distribute malware, viruses, or malicious code. 

• Share unrelated, non-business, or sensitive consumer data. 

• Violate the privacy rights of individuals or organizations. 

• Circumvent MyOpenGuild’s verification and compliance procedures 

3.2 The Platform is not a bulk email marketing service. Violations may result in immediate  suspension or termination of the User’s account. 

4. Platform Security and Processing 

4.1 All uploaded files are subject to automated and manual review, including malware scanning,  file validation, and compliance checks. 

4.2 MyOpenGuild may reject, quarantine, or remove any uploaded Contact Data that is  suspicious, invalid, or in violation of this Policy. 

4.3 MyOpenGuild processes and stores Contact Data only to provide Platform services,  including business matching and relationship management. 

5. User Responsibility and Data Controller Status 

5.1 User remains the data controller and owner of all uploaded Contact Data. 5.2 User is solely responsible for ensuring the Contact Data complies with all applicable data  protection, privacy, and marketing laws. 

5.3 User agrees to indemnify and hold harmless MyOpenGuild, its affiliates, officers, employees,  and agents from any claims, liabilities, losses, or expenses arising from Contact Data uploaded  by User. 

6. Limitation of Liability

6.1 MyOpenGuild provides the Platform “as is” with respect to user-uploaded Contact Data and  disclaims liability for the accuracy, legality, or completeness of such data. 6.2 MyOpenGuild will not be liable for any direct, indirect, incidental, consequential, or special  damages arising from the upload, processing, use, or misuse of Contact Data, even if  MyOpenGuild has been advised of the possibility of such damages. 

6.3 User assumes full risk and responsibility for all Contact Data uploaded to the Platform. 

7. Compliance, Audit, and Enforcement 

7.1 MyOpenGuild reserves the right to monitor, audit, and remove Contact Data at any time to  ensure compliance with this Policy. 

7.2 Violations may result in: rejection or deletion of Contact Data, suspension or termination of  the User’s account, and legal action where appropriate. 

8. Retention and Deletion 

8.1 Uploaded raw files may be retained temporarily for processing, security review, and audit. 8.2 Where feasible, MyOpenGuild will delete or securely archive raw upload files after  successful processing. Retention periods will follow our Privacy Policy and applicable law. 

9. Acknowledgment and Acceptance 

By proceeding with a bulk upload, you acknowledge and agree that: 

• You have read and understood this policy. 

• You are fully responsible for the data you upload. 

• MyOpenGuild shall not be held liable for damages, claims, or penalties arising from your  failure to comply with this policy.
